Eastwood Media (“Eastwood” or “the Network”) is a digital marketing ecosystem specialising in empowering affiliates and partners within the online chat and dating industry. Our mission is to go beyond the traditional affiliate network, supporting the sustainable growth and success of our partners at every stage.

The purpose of these Terms and Conditions is to provide a clear, transparent framework for the partnership between Eastwood Media and its affiliates, partners, and publishers. These terms set out the rights, responsibilities, and obligations of both parties, detailing the expectations around promotional methods, payment structures, compliance, and operational procedures, in order to ensure a fair and mutually beneficial relationship.

Additionally, these Terms and Conditions are designed to protect the interests of all stakeholders by defining the standards of engagement, clarifying payment procedures, and establishing the grounds for termination or amendment of the agreement. Our goal is to foster a trustworthy, professional environment where affiliates can thrive and Eastwood Media can deliver value to clients, partners, and users alike.

General Disclaimers

By registering an account or using the services provided by Eastwood Media, you confirm that you have read, understood, and accepted these Terms and Conditions. If you do not agree with these terms, you may not use our services.

You must be at least 18 years old to register with Eastwood Media. Individuals under the age of 18 are strictly prohibited from accessing or using our services.

Eastwood Media reserves the right to modify, amend, update, or remove any section of these Terms and Conditions at any time. Please review these terms regularly to remain informed of any changes.

Registration

When registering with Eastwood Media, affiliates and partners agree to provide accurate and up-to-date information at all times. Any false, misleading, or incomplete information may result in the suspension or closure of your account.

Affiliates are solely responsible for the security of their accounts and must not share login credentials with any third party.

As part of our compliance procedures, Eastwood Media may request documentation or information to verify your identity or the legitimacy of your marketing activities. Failure to provide requested documentation or providing false information may result in account suspension or termination.

Eastwood Media reserves the right, at its sole discretion, to refuse registration or to close any account without the obligation to provide justification.

Billing and Payment

Eastwood Media offers several remuneration models, including:

• CPA (Cost Per Acquisition): Payment per qualified user or action.
• Revenue Share: Percentage of net revenue generated by referred users.
• Hybrid: A combination of CPA and Revenue Share.

Payments are processed monthly, using the payment details provided in your account. A minimum payment threshold applies (e.g., five hundred (500) Euro or equivalent in ZAR); earnings below this threshold will roll over to the next payment cycle.

Affiliates are responsible for providing accurate payment details. Eastwood Media is not liable for delays or losses due to incorrect information supplied by the affiliate.

If due diligence documents are outstanding or there are suspicions of fraud, payments may be paused or withheld until issues are resolved. Eastwood Media has sole discretion to suspend or adjust payments in the event of compliance concerns.

Eastwood Media is not responsible for delays or cancellations of payments by third-party advertisers but will make all reasonable efforts to resolve such issues.

Failure to provide valid payment or banking details within two weeks of registration may result in the suspension of payments and possible account termination, with forfeiture of any accrued earnings.

Affiliate Responsibilities

Affiliates agree to promote Eastwood Media’s brands and offers in compliance with all applicable laws and regulations of South Africa and any other relevant jurisdictions.

Affiliates must not target individuals under 18, vulnerable groups, or promote on platforms containing adult, violent, or otherwise inappropriate content. Affiliates are expected to maintain the highest ethical standards and avoid any misleading, fraudulent, or deceptive marketing practices, including spam, brand bidding, or incentivised traffic.

Obtaining and maintaining any required licenses, permits, or regulatory approvals for your marketing activities is the sole responsibility of the affiliate. Eastwood Media does not accept liability for any compliance failures by affiliates.

Engaging in fraudulent activities or attempting to manipulate earnings will result in immediate account termination and potential reimbursement of any payments made.

Termination

Affiliates may close their account at any time. Upon closure, no further payments will be issued. Inactivity of more than six months may also result in account closure and forfeiture of unpaid earnings.

Eastwood Media reserves the right to terminate any partnership at its sole discretion if there is a breach of these terms, violation of advertiser terms, or any conduct deemed detrimental to the integrity of the network.

Liability

Eastwood Media cannot be held liable for the actions or omissions of affiliates. The total liability of Eastwood Media under this agreement is limited to the amount of commissions paid to the affiliate in the six months preceding any claim.

Promotion of certain online chat, dating, or entertainment services may be restricted or prohibited in some countries. Affiliates are responsible for understanding and complying with all relevant laws and restrictions.

Governing Law

This agreement is governed by and construed in accordance with the laws of South Africa. Any legal proceedings arising from or related to this agreement shall be subject to the exclusive jurisdiction of the courts of South Africa.
